A mixed night for Nigeria players in the Europa League as some book their place in the round of 16 while others were kicked out,

Despite a 2-1 win in Naples Italy, Victor Osimhen’s Napoli are out of Europe on an aggregate score of 3-2 having lost the first leg away by two goals to nil to Granada. Not a good week for Gennaro Gatuso’s men who lost 4-2 to Atalanta in the league on Sunday.

Two second half goals by Lukas Provod (49′) and Abdallah Sima assisted by Peter Olayinka sends Peter Olayinka’s Slavia Prague to the next round on a 2-0 aggregate as Wilfred Ndidi and Kelechi Iheanacho’s Leicester bow out.

Europe is a different ball game compared to the league as Leicester could not replicate the form that has kept them in the top four for majority of the season.

As Arsenal looked to be heading out of Europe on away goal rule for the second season in a row, Bukayo Saka provided a wonderful cross headed home by Pierre-Emerick Aubameyang to send Arsenal through the round of 16, 3-2 on the night and 4-3 on aggregate

SEC: Oando appeals court ruling

In the case between Oando PLC and its directors against the Securities and Exchange Commission (SEC), the complaint moved forward to tender an appeal to the ruling. However, on Thursday, February 25, 2021, the ruling presided over by Justice Giwa Ogunbanjo at the Federal High Court, Abuja, showed that the judge declined jurisdiction to hear suits brought by the complaint. The judge stated that the Investment and Securities Tribunal (IST) would be the appropriate forum to hear the matter.

The basis for the Court’s decision is Section 36(2) of the Constitution which allows aggrieved individuals to first approach any tribunal or administrative agency to determine civil rights and obligations as long as that process and the resulting decision is not final. The Court also reiterated that the IST has primary jurisdiction over Oando and its directors in respect of capital market issues and not the Federal High Court.

In July 2017 it came to public attention that the SEC was investigating Oando PLC; a long drawn out investigation followed culminating in the notorious May 31, 2019 letter from SEC to Oando finding them guilty of a number of infractions and imposing stiff sanctions.

In response, Oando and some of its directors filed suits against the regulator for not following due process and a breach of their human rights to a fair hearing. In addition to filing suits against the regulator, Oando took out and was granted by the Federal High Court of Lagos an injunction restraining the SEC from executing any of the sanctions in its May 31, 2019 letter.

An Oando official has explained that as much as they respect the decision of the court, the battle is far from over as in their opinion, this is still very much a case for the judiciary and thus Oando has lodged an appeal with the courts in Abuja, contesting the court’s decision that the suits are best heard by the IST. The belief being that justice will only be served through the courts and not the IST as advised by the presiding judge.

The company and its affected directors argue that the powers conferred by the Constitution of the Federal Republic of Nigeria on its citizens to enforce their fundamental rights supersede the provisions of the Investment and Securities Act 2007.

They have also filed an application for stay of execution as well as an injunction pending appeal on the SEC’s May 31, 2019 letter to the Company, and as such the status quo that existed before today’s ruling remains unchanged meaning nearly 2 years on SEC’s hands are tied and they are still unable to implement sanctions imposed on the company or its directors. It begs the question at what point does the regulator decide to address this challenge in an alternative and more productive manner.

But Thursday’s ruling and Oando’s appeal is only the tip of the iceberg, 2021 has kicked off with shareholders weighing into this long drawn out battle. The shareholders have called on the SEC and Oando to settle the matter out of court, as the tussle continues to impact their investments. Some shareholders have gone as far as dragging both parties to court to seek an end to this impasse.

This month, various factions of Oando’s shareholders filed a case against the SEC in the persons of Alhaji Yakubu Gumel; Alhaji Kabiru Tambari, suing for himself and on behalf of the Sokoto Zone Shareholders Association; Tunde Badmus, suing for himself and for the benefits of Pacesetters Shareholders Association, at the Federal High Court Kano.

The shareholders filed for an interim order restraining SEC its agents or representatives from acting on its May 31, 2019, letter sanctioning the Management of Oando. The orders were granted on Friday, February 19, 2021, and present in court were lawyers for both SEC and the shareholders. The order restrains the SEC, its agents or anyone acting on behalf of the commission from disturbing or meddling with the affairs, management and activities of Oando PLC. It also restrains the SEC’s purported interim Management from meddling in the administration and activities of the company as well as an order restraining SEC from interfering with the shareholder’s exercise and performance of their statutory powers and duties as shareholders.

Alhaji Tambari Kabiru, one of the applicants, and an Oando shareholder since 1991 explained why he decided to sue the apex regulator.

He said “I’m not happy with the current state of my investment. I invested my money heavily with the hopes of capital appreciation and this has not been the case. This SEC and Oando case is affecting the value of our investment, it isn’t appreciating, instead, it gets worse each year.

“For over two years now we have been totally in the dark on our investment in Oando. Where in the world is this done? Oando’s shares would have appreciated greatly if this issue wasn’t hovering over our heads. Year on year, our investment has depreciated in value.

“We are tired! As a shareholder, I am strongly behind the Management of Oando. Not everyone can withstand the backlash this crisis has put the Management through these past four years and still remain committed to doing the job. We have reached out to the SEC and appealed for a resolution, but they haven’t listened to us, that’s why we’ve taken this matter to court.”

The court hearing between the SEC and aggrieved shareholders in Kano has been adjourned to March 17, where it is hoped a favourable ruling will be delivered by the court.

Amidst all of this was good news for one shareholder. On Tuesday, February 23, 2021, there was a court ruling in favour of an Oando shareholder Engr. Patrick Ajidua. He had challenged the regulator in a suit filed at the High Court of the FCT. He had challenged the SECs right to prevent the convening of an Annual General Meeting as a breach of his right to freedom of association.

In a hearing presided by Honorable Justice O. A. Musa, all cases filed were granted in favour of Engr. Patrick. In summary, the judge declared that the May 31, 2019 letter of SEC to Oando sanctioning its management, as unconstitutional, null and void and violation of Engr. Patrick’s fundamental right to a fair hearing and his human right to receive information on the affairs of Oando and his interest and shares in Oando and more importantly instituted that within 90 days of the ruling Oando must convene an AGM for her shareholders.

The Securities and Exchange Commission (SEC) has denied the claim by Engr Patrick Ajudua, that he won a court case against the capital market apex regulator. SEC disclosed in a statement it issued on Wednesday, February 24, 2021, that there was never a time it was served with court processes with respect to the purported matter at the FCT High court.

It stated, “The attention of the Securities and Exchange Commission (the Commission) has been drawn to several publications in the media, where it is reported that a shareholder of Oando PLC, purportedly obtained a judgment from the Federal Capital Territory High Court against the Commission.

“The Commission wishes to inform the general public that it was never at any time served with court processes with respect to the purported matter at the FCT High court. The Commission will consequently take all necessary steps to verify and set aside the purported decision of the said Court.”

This denial is a clear affront to the Nigerian judiciary, implying that Honorable Justice O. A Musa who presided over the case made a judgement without giving SEC the opportunity to defend itself. This is contrary to court documents that have been sighted which indicate that SEC was served processes but did not appear in court.

Once again it seems the regulator is indifferent to shareholder investments or the sentiments of the capital market and will doggedly continue to fight Oando PLC.

Ogun state revives dormant Imasayi cashew processing plant

Ogun State have revived its cashew processing plant at Imasayi by partnering with an indigenous agro-allied processing company, J22 Concerns Limited, Kajola.

The State Commissioner for Industry, Trade and Investment, Mrs. Kikelomo Longe, represented by the Ministry’s Permanent Secretary, Mr. Olu Ola Aikulola said the present administration decided to operationalise the plant which has been unused since 2018 to enhance the socio-economic development of the people.

Longe called on relevant stakeholders and the people of Imasayi to support the investor in enhancing cashew nut value chain through increased production of cashew nuts and sale for processing instead of selling them raw.

We should team up with the investor to ensure the best use of this cashew processing plant. We want a situation whereby the cashew nuts grown in Imasayi will be processed in Imasayi. This will boost the cashew value chain and bring about development for the people, create job opportunities and lead to improvement in the people’s standard of living,” he said.

The Commissioner assured that the Prince Dapo Abiodun-led administration remains committed to making Ogun State investors’ prefererred choice of destination as well as promoting policies such as the Public-Private-Partnership which would lead to the development of the agricultural value chain.

Also speaking, the Trade Promotion Advisor/ Head, Abeokuta Smart Office, Nigerian Export Promotion Council (NEPC), Mr. Samson Idowu said only 10 percent of the 240 metric tonnes of cashew nuts grown in Nigeria is processed.

Idowu said the need to diversify the economy from dependence on oil through increased cashew nut processing and exportation, made the Council donate the processing machine to the State in 2018 and also trained the farmers on latest techniques in cashew nut processing adding that increased processing of the cash crop has the potential of making the gateway State an export hub.

COVID-19 Vaccines: Nigerian government to present supplementary budget

The Minister of Finance, Budget and National Planning, Zainab Ahmed, said on Thursday that a supplementary budget would be presented to the National Assembly for COVID-19 vaccines and vaccination of frontline workers. She said the first batch of COVID-19 vaccines would arrive in the country in one week.

She said this during the maiden edition of the weekly special ministerial media briefing, organized by the Presidential Communications Team, held at the State House, Abuja.

“As we see the oil price rising and providing more revenue, it also provides us with some reliefs. We’ll be able to reduce our borrowing so it is a positive thing for us and also, we have a provision in the 2021 budget for immunization.

“We’re already releasing money to the health authority to start operations with the first batch of vaccines that are going to arrive in the country in one week. But what we have in the budget is not enough. So, we’re working with the health authorities to provide a plan that’ll be taken to the President for approval and the National Assembly as a supplementary budget specifically for COVID -19 vaccination,” she said.

The minister said Nigeria would regress if it failed to borrow more to finance critical infrastructure in the country.

She added that though the country had expanded its borrowing, it was still below 25% debt to GDP ratio and within the borrowing limit.

“There’s a lot of sensitivity in Nigeria about the level of borrowing by the government and it’s not misplaced. As I said earlier that the level of borrowing is not unreasonable, it’s not high.”

Gunmen reportedly kidnap secondary school students in Zamfara

Gunmen have kidnapped students of Government Girls Secondary School Jangebe in Talata-Mafara local government area of Zamfara State.

Confirming the incident via a telephone conversation, the state Commissioner for Information, Hon. Suleiman Tunau Anka said the gunmen stormed the school around 1 a.m. on Friday morning, and abducted the students.

He, however., did not confirm how many students were kidnapped.

NFVCB to severe ties with unregistered practitioners

 

The Executive Director, National Film and Videos Censors Board (NFVCB), Adedayo Thomas, has said that the board will no longer engage with practitioners in the movie industry who are yet to be registered.

Thomas made this submission at the first meeting of the non-registered and registered professional association in the Nigerian movie industry in Lagos.

Citing “Act 17 sub-section 2 and 3 of the NFVCB Act’’, he said the directive was imperative in order to restore sanity to the industry that has been saturated by many non-professionals.

“A couple of months ago, we called for guilds and associations to validate and register their members. Even the Minister of Information was gracious enough; he extended it for them for another two months until January 31 this year.

“For us to look at every policy, there must be feedback within a very short period of time: feedback of what is happening, how well they understand, staff must be able to equally listen. This policy will assist the government to identify those who are producing, directing, acting and marketing,’’ he revealed.

He added that any practitioner who refuses to register will be sanctioned and pulled out of business as the board wants the best for genuine practitioners in the industry. Thus far, 13 professional bodies have been registered with the board.

Further, he reflected on the milestone reached by the Nigerian movie industry in the past two decades, stressing the need for a regulatory framework to build a stronger movie industry.

“We won the emerging film market in the world. Cinema grew from when I was appointed from 20 to 63 now. Cinema and foreign investments are coming. So, we need those things on ground to achieve the development we are looking for in the film industry.”

 

Solicitor-General, others laud AGF Malami at book launch

A law book celebrating the exceptional qualities of Nigeria’s Attorney General and Minister of Justice Abubakar Malami, SAN has been launched in Abuja, Nigeria’s Capital.

The Book titled Contemporary Issues in Nigerian Law and Practice launched at the Shehu Musa Yar’adua Centre, on Thursday, is a collection of legal writings highlighting different aspects of Nigerian legal system.

At the launch, Nigeria’s Solicitor-General and Permanent Secretary, Dayo Apata (SAN) in his welcome speech praised the Attorney-General for his commitment to his Motherland, Nigeria, over the years and for making the Ministry of Justice a revenue-generating entity.

“This book will serve as a useful reference or guide in legal research,” Apata added.

Reviewing the book, Professor F.C Nwoke commended the Attorney General for not only dwelling on Nigerian Law but also doing a comparative analysis of contemporary issues in international law.

Also speaking at the launch, Chief Oladipo Okpeseyi (SAN), who was the keynote speaker, eulogised the Minister for his effective, humble, incorruptible, loyal service to Nigeria.

“He is influenced only by his conviction and incorruptible like his fathers both biological and political” 

“He has recovered so much for the Federal Government in terms of asset drive,” Okpeseyi stated.

The Deputy Senate President, Ovie Omo-Agege, who also graced the occasion commended the actions of the Attorney-General in pushing Nigeria forward.

Also in attendance were Nigeria’s Minister of communications and digital economy, Isa Pantami, the General Managing Director, NNPC, Mela Kyari, the FCT Minister, Mohammed Musa Bello, Director-General, Voice of Nigeria, Osita Okechukwu amongst others.

Abubakar Malami, SAN is Nigeria’s youngest Attorney General and Minister of Justice, and 23rd Attorney General in Nigeria since independence.

Defence Minister seeks U.S support for Nigerian Army Aviation

Nigeria’s Minister of Defence, Maj Gen Bashir Salihi Magashi (rtd) says a full-fledged Nigerian Army Aviation is a critical component in the counter-terrorism and counter-insurgency campaigns in the country.

According to a statement from the ministry, General Magashi stated this when the Commander U.S Africa Command, General Stephen Townsend and his team paid a courtesy call on him at the Ministry of Defence Headquarters, Abuja.

He said Nigeria will appreciate the US intervention to fully establish the Aviation Unit of the Nigerian Army as a Force Multiplier in the on-going fight against ISWAP/terrorists in the country.

The Minister of Defence on behalf of the Commander-in-Chief of the Nigerian Armed Forces, President Muhammadu Buhari thanked the United States of America for its technical and manpower training supports towards enhancing the nation’s capacity and capabilities to end insecurity bedevilling the country.

While recalling specific instances of US strategic supports to the Nigerian Military, he mentioned progress recorded in the supply of Super Tucano aircraft, Thunder Boat for Maritime Operations and logistics to the Multinational Joint Task Force, MNJTF for enhanced combat efficiency and effectiveness.

On human rights issues, he told the delegation of the US Africom which include US Ambassador to Nigeria, Mary Beth Leonard, Foreign Policy Adviser, Russell Schiebel and US defence Adviser to Nigeria, Colonel Andrew Clerk that the Nigerian Military is adopting international best practices to reduce collateral damages in the fight against terrorism’

For instance, he said the Fighting Forces are leveraging low kinetic modus operandi in the theatres of combats, which he said complies with the Rules of Engagements.

On his path the Commander US AFRICOM, General Stephen Townsend eulogised the leading role Nigeria is playing in Africa Subregional security matters and assured the government of support at all times.

General Townsend commiserated with Nigeria over the aircraft mishap that claimed the lives of seven crew members on board the plane.

The courtesy call earlier began with a closed-door session between the Defence Minister, Major General Bashir Salihi Magashi( rtd) and the Commander US AFRICOM, General Stephen Townshend.
